Terms & Conditions

01. Definitions

In these terms and conditions, the following terms are understood:

• Velox Mercator: The contractor, based in Amsterdam.
• Client: The natural or legal person who provides the assignment.
• Services: All work including social media management, content creation, strategy, and web design.

02. Execution of the Agreement

Velox Mercator will execute the agreement to the best of its insight and ability, in accordance with the requirements of good workmanship. We work on the basis of an obligation of effort, not an obligation of result, unless expressly agreed otherwise in writing.

03. Payments & Subscriptions

The following payment terms apply:

• Invoicing: Services are invoiced prior to the month or project phase.
• Payment Term: Invoices must be paid within 14 days of the invoice date.
• Default: If the payment term is exceeded, Velox Mercator is entitled to temporarily suspend services.

04. Intellectual Property

Unless otherwise agreed, all intellectual property rights to materials developed by Velox Mercator (campaigns, designs, strategies) remain with Velox Mercator until the client has fully met their payment obligations. After payment, the client obtains an exclusive right of use.

05. Liability

Velox Mercator is not liable for damages of any kind arising from our reliance on incorrect and/or incomplete information provided by the client. Our liability is in all cases limited to the amount charged for the relevant assignment (or one monthly term for subscriptions).

06. Termination

Subscriptions for social media management can be terminated monthly with a notice period of one calendar month. Termination must be done in writing (by email).

07. Applicable Law

All legal relationships in which Velox Mercator is a party are exclusively governed by Dutch law. Disputes will be submitted to the competent court in Amsterdam.
